PROOFING & PRINT QUALITY: Wellspring Info will reproduce color from digital files as closely as possible, but may not exactly match color. The resolution of the content is solely the client’s responsibility—reprints due to low-resolution files and PDFs will be made at the client’s sole expense.You cannot approve the PDF proof and then say you expected to receive something other than the PDF proof you approved.
ERRORS & OMISSIONS: Wellspring is not responsible for any errors and omissions.
CONTENT: Any content or content suggestions provided by Wellspring are provided “as is” without representation or warranty of fitness for a particular purpose. The entire risk as to the quality, accuracy, compliance, and performance of the content is with you.
INDEMNIFICATION: You agree to indemnify, defend and hold Wellspring, its affiliates, its content providers and Wellspring's directors, officers, employees, shareholders, partners and agents harmless from and against any and all claims, liability, losses, damages, costs and expenses including reasonable legal fees on a solicitor and client basis.
INVOICING: By approving this proof you are agreeing that this is an order, that you are authorized to order, and that your invoice will be paid in full in a timely fashion.
DELIVERY AND SHIPPING: All turnaround times are approximate and although Wellspring will make every effort to meet these deadlines, Wellspring cannot be liable for any costs or damages resulting from deliveries being made later than expected. Delays or damage during shipping are the sole responsibility of the carrier providing shipping services.
